This Service Agreement governs access to KlayrAI, a read-only Meta Ads diagnostic, reporting, and manual playbook platform. By creating an account, connecting a Meta account, starting a subscription, or using KlayrAI, you accept this agreement together with the Terms of Use and Privacy Policy.
This page is a business-facing service agreement template for KlayrAI operations. It should be reviewed by qualified legal counsel before being treated as final legal advice or a substitute for jurisdiction-specific terms.
1. Provider and Customer
"KlayrAI", "Klayr AI", "we", "us", or "our" means Klayr AI, status: Projet individuel, reachable at [email protected], or any successor provider identified in your checkout, invoice, billing portal, or direct written notice from KlayrAI. "Customer", "you", or "your" means the person or organization using the service.
If you use KlayrAI for a company, client, agency, or other organization, you confirm that you are authorized to bind that organization and to connect the relevant Meta ad accounts.
2. Service Description
KlayrAI provides read-only Meta Ads diagnostics, dashboards, insights, reports, and manual action plans. Klayr Agent analyzes permitted Meta Ads signals such as spend, impressions, clicks, CTR, CPC, CPM, conversions, purchase value, ROAS, CPA, campaign activity, country breakdowns when available, diagnostics history, and onboarding profile context.
KlayrAI is a recommendation and decision-support service. It does not create, edit, pause, publish, delete, or otherwise change campaigns, budgets, audiences, pixels, ads, assets, or Meta account settings through Meta APIs.
3. Account Registration and Access
- You must provide accurate account, workspace, billing, and contact information.
- You are responsible for protecting login credentials, devices, and workspace invitations.
- Each workspace must only contain users who are authorized to view the connected Meta Ads data.
- We may suspend access if we detect abuse, unauthorized use, payment failure, platform-policy risk, or security risk.
4. Meta Platform Connection
KlayrAI connects to Meta through OAuth and requests read-only permissions needed to retrieve ad account and insight data. You are responsible for complying with Meta platform terms and for ensuring that connected accounts, pages, pixels, campaigns, and business assets are lawfully accessible by you.
Meta may change APIs, permissions, review requirements, rate limits, or data availability. KlayrAI is not responsible for Meta outages, rejected permissions, inaccurate third-party data, unavailable breakdowns, or API changes outside our control.
5. Subscriptions, Pricing, and Payment
- Paid access is handled through Stripe checkout, invoices, and the Stripe customer portal where available.
- Plans, prices, billing intervals, limits, and included features are shown at checkout or in-app billing screens.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Launch offers, coupons, discounts, or promotional pricing apply only under the conditions displayed at checkout.
- Taxes, VAT, card fees, bank fees, and currency conversion charges may apply depending on your billing location and payment method.
- If payment fails, KlayrAI may restrict or suspend workspace access until billing is resolved.
6. Plan Limits and Fair Use
Plan limits may include diagnostic runs, reports, workspaces, seats, connected Meta accounts, API usage, storage, sync frequency, and support level. KlayrAI may apply technical limits, rate limits, caching, or queueing to protect reliability, security, and service availability.
You may not share one subscription across unrelated businesses or clients in a way that avoids the plan tier, agency plan, or additional-account pricing.
7. Cancellations and Refunds
You can cancel a subscription through the billing portal when available or by contacting support. Cancellation stops future renewals but does not automatically refund the current billing period unless required by law or expressly approved by KlayrAI.
KlayrAI is designed for business use. If mandatory consumer cancellation rights apply in your jurisdiction, those rights are not limited by this agreement.
8. Diagnostic Output and Advertising Results
KlayrAI diagnostics are generated from available data and may be incomplete when tracking, attribution, conversion volume, campaign history, permissions, or Meta data quality is limited. Recommendations are not financial, legal, tax, or professional advertising advice.
You remain responsible for deciding whether to apply a recommendation in Meta Ads Manager. KlayrAI does not guarantee ROAS, revenue, conversion volume, CPA, CTR, account approval, delivery, profitability, or any specific advertising outcome.
9. Customer Data and AI Processing
Customer data is processed to authenticate users, operate workspaces, sync Meta Ads data, generate diagnostics and playbooks, enforce plan limits, process billing, provide support, and improve service reliability.
Klayr Agent receives only the business context and performance evidence needed for the diagnostic task. Encrypted tokens, platform secrets, raw credentials, and payment credentials are not sent to the model.
10. Acceptable Use
- Do not attempt to access another workspace, account, token, system, or dataset without authorization.
- Do not reverse engineer, scrape, overload, resell, or bypass technical limits of the service.
- Do not upload or submit unlawful, infringing, harmful, deceptive, or platform-violating content.
- Do not use KlayrAI to support illegal advertising, discrimination, fraud, malware, or evasion of Meta policies.
11. Intellectual Property
KlayrAI owns the service, software, user interface, workflows, prompts, documentation, trademarks, and generated system architecture. You retain ownership of your business data and advertising account data. Subject to your subscription and compliance with this agreement, KlayrAI grants you a limited, non-exclusive, non-transferable right to use the service.
You may use diagnostic reports and manual playbooks internally for your business or clients covered by your plan. You may not resell, white-label, or publicly redistribute KlayrAI outputs as a competing service without written permission.
12. Third-Party Services
KlayrAI depends on third-party services including Meta, Stripe, Firebase, Supabase, Vercel, analytics, email, security, and AI model providers. Your use of those services may be subject to their own terms. KlayrAI is not affiliated with, endorsed by, or sponsored by Meta.
13. Security, Availability, and Support
KlayrAI uses commercially reasonable safeguards, token encryption, workspace scoping, authentication checks, rate limits, and monitoring. No SaaS service can guarantee uninterrupted availability or complete security.
Support is provided through the contact channels and support levels available in your plan. We may perform maintenance, upgrades, or emergency security actions without prior notice when needed.
14. Confidentiality
Each party may receive non-public information from the other party. The receiving party must use reasonable care to protect confidential information and only use it for purposes related to the service, except where disclosure is required by law, payment processors, security providers, or platform compliance obligations.
15. Termination
You may stop using KlayrAI at any time. We may suspend or terminate access if you breach this agreement, fail to pay, create security risk, misuse platform access, or expose KlayrAI to legal, compliance, or operational risk.
After termination, we may retain data as needed for billing, security, audit, dispute resolution, legal compliance, backups, and legitimate business records, as described in the Privacy Policy.
16. Disclaimers
KlayrAI is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and guaranteed advertising performance.
17. Limitation of Liability
To the maximum extent permitted by law, KlayrAI is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost advertising spend, loss of data, business interruption, or failed campaigns.
To the maximum extent permitted by law, KlayrAI's total liability for any claim is limited to the amounts paid by you for the service during the three months before the event giving rise to the claim.
18. Changes to This Agreement
We may update this agreement to reflect product, pricing, legal, security, or operational changes. Material changes will be posted on this page or communicated through the service. Continued use after the effective date means you accept the updated agreement.
19. Governing Law and Disputes
Unless mandatory law requires otherwise, this agreement is governed by the laws applicable to the KlayrAI billing provider shown on your invoice. Until a different billing entity is displayed, French law applies. The parties will first try to resolve disputes in good faith through support before starting formal proceedings.
